Skywind Games looks to reverse £51m acquisition of Touch Games

Skywind Games (Skywind) is looking to reverse the acquisition of Intouch Games (ITG) due to a hotly contested piece of source code that has soured the £51m ($67m) deal.

Teddy Sagi, the billionaire founder of Playtech and owner of Skywind, is adamant that this piece of proprietary software, known throughout the court battle as Super-User Code, is a breach of the deal.

Skywind aims to end Intouch Games takeover

Skywind was founded in 2012 and has a portfolio of 200 video slots and live casino games. In 2022, the entertainment monolith announced the Intouch Games deal via the company’s official channels.

The release stated that the “Intouch Games offering will enhance Skywind’s extensive portfolio, sitting alongside popular slot games and Live Casino games. Intouch Games will also have the opportunity to introduce Skywind’s world-class content to new players across the UK.“

Since that time, the relationship has soured with Skywind stating that Intouch used this Super-User Code to mask any memory or files related to an audit that discovered fraudulent activity in 2021.

Skywind alleged that “the Super User Code had the result that evidence of [fraud related to an audit carried out by RSM] was destroyed and is not available.”

The claim, updated on May 9, 2025, continues “(this) was intended to facilitate and conceal improper and fraudulent activity, including in particular the RSM Audit Fraud.”

As reported by Next.io, according to the court documents submitted as part of the deal there was increased activity related to image deletions between 26 August and 10 September 2021, “with no corresponding upload and deletion entries elsewhere in the system.”

InTouch’s owners deny this process and any claims that the alleged “Super-User Code” was malign in any fashion.

The report also stated that the owner of Skywind made a blunt statement ahead of his approach to buy ITG, saying, “I have a big pair of balls. I lost £300,000 in the casino last night. I will buy your business for £53m.”

“I will buy it in 10 days, and I won’t do any due diligence, and I don’t want any guarantees or warranties. I don’t even want tax warranties,” the alleged statement by Mr Sagi concluded.

It remains unclear if ITG will have to pay back the initial purchase price and the damages Skywind and Sagi are seeking, or an end to the saga is in touching distance for both parties.
